Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Vital Few Inc. regarding your use of our website and services. By accessing or using our services, you agree to be bound by these terms. If you do not agree with these terms, you must not use our services.

Services Description

Service Engagement

Client Responsibilities

When engaging our services, clients agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information in a timely manner
• Designate appropriate personnel to work with our team
• Provide necessary access to systems, data, and resources
• Review and approve deliverables within agreed timeframes
• Make timely payments according to agreed terms
• Comply with all applicable laws and regulations

Intellectual Property Rights

Unless otherwise specified in a service agreement:

• Vital Few Inc. retains ownership of all pre-existing intellectual property
• Custom work products created specifically for a client become the property of that client upon full payment
• We retain the right to use general knowledge, skills, and experience gained
• Clients grant us permission to use their name and project description as a reference, unless otherwise agreed
• All website content, trademarks, and branding remain the property of Vital Few Inc.

Confidentiality

We maintain strict confidentiality regarding client information and project details. Both parties agree to:

• Protect confidential information from unauthorized disclosure
• Use confidential information only for the purposes of the engagement
• Return or destroy confidential information upon request
• Maintain confidentiality obligations beyond the term of engagement

Payment Terms

Payment terms are specified in individual service agreements. General terms include:

• Invoices are payable within 30 days unless otherwise specified
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are in Canadian dollars unless otherwise stated
• Expenses and third-party costs are billed separately

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Services are provided as is without additional warranties
• We do not guarantee specific results or outcomes
• We are not responsible for issues arising from client-provided information or resources
• Technology solutions may require ongoing maintenance and updates
• Third-party products and services are subject to their own terms and warranties

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for loss of profits, data, or business opportunities
• Liability limitations apply regardless of the form of action
• Some jurisdictions do not allow certain limitations, so these may not apply to you

Indemnification

Clients agree to indemnify and hold harmless Vital Few Inc., its officers, employees, and agents from any claims, damages, or expenses arising from:

• Client's use of our services
• Client's violation of these terms
• Client's violation of any third-party rights
• Client-provided content or information

Term and Termination

Service engagements continue until completion or termination. Either party may terminate with written notice:

• Termination for convenience requires 30 days notice
• Immediate termination is permitted for material breach
• Upon termination, client pays for work completed to date
• Certain obligations survive termination, including confidentiality and payment obligations

Website Use

When using our website, you agree to:

• Use the website only for lawful purposes
• Not attempt to gain unauthorized access to our systems
• Not interfere with the proper functioning of the website
• Not transmit harmful code or malicious software
• Not collect information about other users
• Respect intellectual property rights

Privacy

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
